The Commodity Futures Trading Commission issued an amended order of registration to LCH.Clearnet LLC (LCH LLC), formerly the International Derivatives Clearinghouse, LLC. LCH LLC’s parent company, LCH.Clearnet Group Limited, recently acquired IDC’s sole parent, International Derivatives Clearing Group, LLC. In accordance with the amended order, LCH LLC continues to be registered as a derivatives clearing organization, subject to new terms and conditions relating to recent amendments to the Commodity Exchange Act. London Stock Exchange Publishes Draft Rulebook for New Fast-Growth Segment
Rulebook sets out criteria for admission to the high-growth segment, which has been designed to meet the needs of fast-growing European companies.On 13 February, the London Stock Exchange (LSE) published a draft rulebook[1] (the Rulebook) as part of its consultation process on a new route to the UK IPO market for high-growth companies, such as Internet and technology companies. This new high-growth segment was first announced in October 2012 through a set of proposals developed jointly by the UK government and the LSE. The purpose of the new segment, which will be a segment of the LSE's Main Market, is to act as a starting point for companies that will, in time, seek a premium listing on the Main Market. Fast-growing European companies can now apply for admission to trading on the new segment of the LSE's Main Market.On 27 March, the London Stock Exchange (LSE) published the final version of the rulebook[1] for the high-growth segment of its Main Market (Rulebook). The LSE has also confirmed that companies, and potential key advisers on their behalf, may now apply for admission to trading on the new segment.[2]The main changes to the draft version of the Rulebook—introduced as a result of the feedback received from a range of stakeholders—include the following:Rule 2.3: The formula used to demonstrate compound annual growth in revenue of at least 20% over the prior three financial years has been clarified. A four-year range of financial data is required to calculate the growth in revenues. UK: New FCA Handbook and PRA Rulebook Websites to Launch Next Week
On August 17, the UK Financial Conduct Authority (FCA) announced on the front page of its online rulebook, which currently also includes the rules of the Prudential Regulation Authority (PRA) and guidance from both Authorities, that new and separate FCA Handbook and PRA Rulebook websites will be launching on August 29. Any persons attempting to visit the current online rulebook after August 29 will be redirected to the new websites of the FCA Handbook and PRA Rulebook.Both the FCA and the PRA were formed on April 1, 2013 from divisions of the UK Financial Services Authority (FSA), which was perceived by the UK government to have failed to adequately supervise UK banks during the financial crisis of 2007–2008. Consequently, the UK government elected to restructure financial regulation in the United Kingdom and abolished the FSA, splitting its responsibilities between the PRA and the FCA.
