Shortened Tender and Exchange Offer Periods for Non-Convertible Debt Securities

On January 23, 2015, the Securities and Exchange Commission staff issued a no-action letter reflecting their new position on expedited tender or exchange offers for non-convertible debt securities conducted under certain guidelines. The letter indicates that the staff of the SEC’s Division of Corporation Finance will not object to issuers conducting these simple tender or exchange offers with deadlines that would be significantly shorter than those required by SEC regulations. The letter states that the staff will not recommend enforcement action with respect to tender or exchange offers for non-convertible debt securities that are held open for as few as five business days (as opposed to the 20 business days required by Rule 14e-1(a)), with potential extensions of as little as five business days following changes in the offered consideration or three business days following changes in other material terms of the offer. Hearing the petition filed by KN Govindacharya in relation to non-payment of taxes by foreign internet companies, especially Facebook and Google in India, the Delhi High Court today asked the Union government about the same.The Court was dealing with the issue of non-payment of service tax by such entities. The government had submitted an affidavit signed by Commissioner of Service Tax which stated that “as per the provisions of Chapter-V of the Finance Act, 1994,any company/entity having fixed establishment inside India, that provides or agrees to provide service of sale of space or time slots for advertisements to a person in Indian territory, is subjected to service tax as per the provisions of the Finance Act.”Arguing for the Petitioner, Mr. Virag Gupta submitted that the statement made in the affidavit is wrong and that any entity, irrespective of the fact where it has a fixed establishment in India or not is liable to pay service tax. Non-Payment Of Prosecutor’s Fees May Attract Contempt Of Court: Delhi HC Tells Kejriwal Govt [Read Order]

Venezuela’s State Oil Company Sued in U.S. over Non-Payments

Venezuela’s state oil company Petroleum of Venezuela (PDVSA) is facing a lawsuit in the United States for failing to pay $25 million owed to Canadian energy contractor SNC-Lavalin. The lawsuit, filed on Wednesday in a U.S. District Court in New York, is the latest in a number of legal filings demanding payment from the state-run oil company, which has seen its revenue collapse dramatically in recent years amid falling oil prices and Venezuela’s severe economic crisis.According to The Financial Times, the action “opens the door to suits for an estimated $2bn or more regarding a string of suppliers with unpaid bills.” PDVSA owes billions of dollars to companies around the world. “It is now open season on PDVSA,” Russ Dallen, an investment banker at Caracas Capital, told the Times. “This will start an avalanche of legal actions.”Dallen added that the suit “is the worst possible nightmare for Caracas,” explaining … [Read more...] about Venezuela’s State Oil Company Sued in U.S. over Non-Payments

Picture: Google Maps Archant The home office has stepped in to object to a Stoke Newington pizza joint’s efforts to appoint a new licensee because it employed illegal immigrants. Pizza GoGo in Green Lanes wants to transfer its licence to Reza Zafarkhah. But a representative of home secretary Amber Rudd says Mr Zafarkhah was the owner of the business in August 2016 when one “failed asylum seeker and one illegal entrant” were arrested, and a notice of potential liability was served.
