Accounting Firms Merge to Move Into North Kentucky Market

An accounting firm Barnes Dennig is in the process of merging with another firm to give it a larger presence in Northern Kentucky. The merger is to take place on January 1st, and the merger will make it as one of the larger accounting firms in the area.Barnes Dennig is currently located in Cincinnati. But rather than just expand in the Northern Kentucky area, the new firm would like to expand "regionally in Kentucky" as well.It is felt that such a merger will bring together differing strengths of the two firms. While one firm has specialized in international and specialty tax consulting, the other firm has performed a great deal of work for local governments. At the same time, both firms will bring something to their certified fraud examiner and valuation capabilities.Business transactions such as acquisitions or mergers often involve a jumping through a variety of legal and financial hoops. Hospital Consolidations: Facing Competing Pressures to Merge and Remain Independent

The past 18 months have been a busy time for the staffers investigating hospital mergers at the Federal Trade Commission (FTC). In December 2011, the U.S. Court of Appeals for the 11th Circuit affirmed a district court's denial of an FTC preliminary injunction motion,[1] from which the FTC and Solicitor General in March 2012 filed a petition seeking review by the U.S. Supreme Court (the "Phoebe Transaction"). Also in March, the FTC ruled that the 2010 acquisition of control over a rival health system in the Toledo, Ohio, area would have anticompetitive effects and ordered divestiture;[2] the parties reportedly plan to appeal (the "ProMedica Transaction"). Two Kentucky CPA Firms to Merge

Two accounting firms that have provided services for medium-sized businesses in Kentucky and other states plan on merging their practice effective on July 1. Both are CPA firms that have been in business for a number of decades.The hope is to provide clients with a greater range of financial and business consulting type services. "Since both firms have significant strengths in differing service areas, it just makes good business sense to combine the firms to meet new financial and business challenges facing their client bases," stated the managing director for one of the firms.It is felt that the combining of the two firms will allow for these businesses to better compete and also expand at a faster rate. It is claimed that such a merger will also be of benefit to employees as a wider range of career opportunities will be made available. Inherited Individual Retirement Accounts (IRA) in Wisconsin Not Protected by Federal Bankruptcy Laws from Creditors

A federal court of appeals has determined that money in inherited individual retirement accounts is not protected from creditors by federal exemption laws.Federal bankruptcy laws permit individuals to claim certain property as exempt from the reach of their creditors. Many types of retirement accounts and benefits are protected by these exemptions. “Inherited” Individual Retirement Accounts (IRAs) hold funds from persons who established IRAs for their own use and died before depleting the funds in those accounts. The Seventh Circuit Court of Appeals has concluded that funds in a non-spousal inherited individual retirement account are not exempt or protected from claims of the heir’s creditors. In re Heffron-Clark, 714 F.3d 559 (7th Cir. 2013).Judge Easterbrook’s opinion considered the exemptions under federal bankruptcy law, 11 U.S.C. §522(b)(3)(C) and (d)(12).
