Hospital Consolidations: Facing Competing Pressures to Merge and Remain Independent

The past 18 months have been a busy time for the staffers investigating hospital mergers at the Federal Trade Commission (FTC). In December 2011, the U.S. Court of Appeals for the 11th Circuit affirmed a district court's denial of an FTC preliminary injunction motion,[1] from which the FTC and Solicitor General in March 2012 filed a petition seeking review by the U.S. Supreme Court (the "Phoebe Transaction"). Also in March, the FTC ruled that the 2010 acquisition of control over a rival health system in the Toledo, Ohio, area would have anticompetitive effects and ordered divestiture;[2] the parties reportedly plan to appeal (the "ProMedica Transaction"). It has been five years since the Copyright (Amendment) Act, 2012 that came into effect from 21st June, 2012 after the unanimous support of all political parties in passing the Copyright Bill, 2010 in the both houses of the parliament. These amendments to the Copyright Act, 1957 has been considered as the major step which brought the Act into conformity with the WIPO Copyright Treaty(WCT) and the WIPO Performances and Phonograms Treaty (WPPT) which together famously known as “WIPO Internet Treaties”. This policy initiative was imperative to extend the protection of copyright to the online and digital environment. These amendments were greeted with generally positive reviews by all stakeholders especially regarding provisions strengthening and clarifying the copyright protection to the Music and Film Industry and specific amendments to address the concerns of the physically disabled persons and to protect the interests of the author of any work. Misdemeanor Trial Looms for Suspended Chicago Judge re Security Checkpoint Dispute

A misdemeanor trial is looming for a Chicago area judge who was removed from the bench last year after being criminally charged in a dispute with security officers in a government building and subsequently retained by voters in November.Cook County Circuit Judge Cynthia Brim plans to assert at her expected two-day trial in early February that she was legally insane at the time of the March 2012 incident, her lawyer, James Montgomery Sr., told an out-of-county judge at a Thursday hearing. As corporate law firms cope with a business slowdown in which their clients have, for for the first time in decades, gained the upper hand, a growing number are now facing a stark choice: Merge or die, reports the Wall Street Journal (sub. req.).While some powerhouse boutiques are among the most profitable law firms in the United States, it’s become harder for local general practice business firms without a special area of expertise to compete with regional, national and international one-stop legal shops. That has led to a significant uptick in law firm merger activity, which grew by 65 percent last year and is also expected to boom in 2012, according to the Am Law Daily.Merging with another firm can be risky.
