DOJ’s Failure to Charge Phil Mickelson Illustrates Difficulties in Charging Outsider Tippees with Insider Trading

On May 19, 2016, the United States Attorney’s Office for the Southern District of New York and the Securities and Exchange Commission (“SEC”) announced insider trading charges against Las Vegas sports bettor William (“Billy”) Walters and former Dean Foods chairman Thomas Davis for allegedly trading on nonpublic company information.1  Tellingly, no charges were brought against professional golfer Phil Mickelson, who was named as a relief defendant and agreed to repay close to $1 million in trading profits made as part of the alleged scheme.  The government’s decision not to charge Mickelson as an outsider “tippee” is a likely result of the Second Circuit’s 2014 decision in United States v. Microsoft and Other Leading K-12 School-Service Providers Pledge To Protect Student-Data Privacy

Yesterday, several big tech companies that offer educational and school services signed the “Student Privacy Pledge,” introduced by the Future of Privacy Forum (“FPF”) and The Software & Information Industry Association (“SIIA”) to safeguard student privacy as it relates to the collection, maintenance, and use of students’ personal information.  Among the fourteen education tech companies representing the initial group to join SIIA and FPF in introducing the Pledge are Microsoft, Amplify, and Houghton Mifflin Harcourt.  Notably, tech giants Google and Apple were absent from the list of signatories.  As part of the Pledge, effective January 1, 2015, participating companies agree to the following commitments:Not to collect, maintain, use or share student personal information beyond that needed for authorized educational/school purposes, or as authorized by the parent/studentNot sell student personal informationNot to use or … [Read more...] about Microsoft and Other Leading K-12 School-Service Providers Pledge To Protect Student-Data Privacy

Energy and Climate DebateCongress is in recess until after Labor Day, but energy issues continued to make news last week.Senate Majority Leader Harry Reid (D-NV) said August 7 that he is very confident that the Senate will pass an extension of the wind Production Tax Credit before it expires at the end of the year as part of a broad tax extenders package.When the two chambers return from the August recess and political conventions September 10, they will need to work quickly to pass a six month continuing resolution to fund the federal government as the fiscal year comes to a close at the end of the month. The Senate may also resume work on a tax extenders package and the cybersecurity bill. Facebook posts get day care worker fired before job begins, add 12 days to paratrooper’s enlistment

Two recent stories illustrate yet again how social media posts can land employees in deep trouble with their employers.A single mom in Texas was happy to have a new job, but couldn’t resist posting on Facebook that “I absolutely hate working at day care.”That got Kaitlyn Walls fired before she even started her first day on the job, after operators of the Dallas area day care center that had hired her got wind of the social media comment, reports CBS DFW.“It really was a big mistake,” the 27-year-old said. “I don’t hate children. I have my own…I love her.”Meanwhile, Spc. Matthew Tattersall wanted his final jump as a U.S. Army paratrooper earlier this month to be memorable, and it was.
