FERC Reconsidering Horizontal Market Power Analyses For Purposes of Section 203 Filings and Market-Based Rate Applications

On September 22, 2016, the Federal Energy Regulatory Commission (“FERC”) issued a Notice of Inquiry (“NOI”) seeking comment on whether FERC should make changes to the manner in which it evaluates horizontal market power for purposes of evaluating transactions under Section 203 of the Federal Power Act (“FPA”) and its market-based rate program.  Among other things, if FERC ultimately adopts this proposal, certain transactions that currently require no detailed market power analysis to be submitted in order to obtain approval would now be subject to more scrutiny.  For instance, while FERC traditionally has not required applicants to submit a detailed market power analysis where a transaction would result in a de minimis change in market concentration, the NOI suggests that FERC is reevaluating the merits of this approach where the transaction involves the partial acquisition of a competitor’s assets in a particular … [Read more...] about FERC Reconsidering Horizontal Market Power Analyses For Purposes of Section 203 Filings and Market-Based Rate Applications

Meet Squire Patton Boggs, one of the 25 largest law firms in the United States.The merger of Squire Sanders and Patton Boggs will take effect on June 1, according to a press release. The merged firm will have nearly 1,600 lawyers spanning 45 offices in 21 countries around the world.The merger helps Patton Boggs amid dropping revenues, a declining headcount and its involvement in a difficult environmental case, report the New York Times DealBook blog and the Wall Street Journal (sub. req).Two sources told the Wall Street Journal that Patton Boggs’ lenders had refused to renew Patton Boggs’ revolving line of credit for this year. In late February, Patton Boggs chairman Thomas Boggs Jr. and managing partner Edward Newberry told partners they would suspend their draws and asked others to follow suit, the newspaper says. Hospital Consolidations: Facing Competing Pressures to Merge and Remain Independent

The past 18 months have been a busy time for the staffers investigating hospital mergers at the Federal Trade Commission (FTC). In December 2011, the U.S. Court of Appeals for the 11th Circuit affirmed a district court's denial of an FTC preliminary injunction motion,[1] from which the FTC and Solicitor General in March 2012 filed a petition seeking review by the U.S. Supreme Court (the "Phoebe Transaction"). Also in March, the FTC ruled that the 2010 acquisition of control over a rival health system in the Toledo, Ohio, area would have anticompetitive effects and ordered divestiture;[2] the parties reportedly plan to appeal (the "ProMedica Transaction"). Merge Existing Govt. Schools Instead Of Building New Ones Without Proper Infrastructure: Uttarakhand HC Advises State [Read Order]

The Uttarakhand High Court has recommended that the State Government may frame a scheme to merge existing Government schools, instead of establishing new schools without adequate infrastructure.Justice Rajiv Sharma observed, “The State is recommended to provide basic infrastructure in the existing schools instead of promoting/ mushrooming of new schools without adequate infrastructure/wherewithal. The State Govt. may frame a Scheme/ Policy to merge the schools, where the strength of students is very low, in the adjoining schools. The State should adopt cluster system to improve standard of education. It is open for the State to rationalize the appointment of teachers taking into consideration ‘Student Teacher’ ratio in the schools. DOJ files lawsuit against AT&T to block Time Warner takeover

[JURIST] The Department of Justice (DOJ) [official website] filed a lawsuit on Monday against AT&T, DirecTV, and Time Warner on Monday seeking to prevent [complaint, PDF] the companies' proposed $108 billion merger. The DOJ alleges that the companies' merger would violate section 7 of the Clayton Act [text, PDF], which prohibits asset acquisitions that create monopoly-like restraints on competition. Because the merger has yet to commence and the case's readiness for court proceedings may be challenged, the DOJ brought suit under Section 15 of the Clayton Act, which gives the DOJ authority to institute legal proceedings to prevent and restrain violations of the Act. The complaint alleges several facts concerning the proposed merger and the current state of competition among cable television providers and video distributors.
