The U.S. Court of Appeals for the D.C. Circuit recently issued a significant decision addressing the interplay between a confidentiality provision in the Freedom of Information Act (“FOIA”), known as “Exemption 4,” and a conflicting public disclosure provision in Section 308 of the Clean Water Act. Business Corporations Act (British Columbia) pursuant to which all of the issued and outstanding shares of Canplats were transferred to 0756808 B.C. Ltd., a wholly owned subsidiary of Goldcorp. The aggregate consideration paid to acquire all of the outstanding shares of Canplats was approximately $308.5 million. Canplats shareholders received $4.60 and one common share of Camino Minerals Corporation, a new exploration company holding the explanation assets of Canplats, with a notional value of $0.20 for total consideration of $4.80 for each Canplats common share held. PARIS (Reuters) - French carmaker PSA Group <PEUP.PA> unveiled an SUV version of its DS3 upscale mini as it builds on a sales rebound underway at the eight-year-old premium DS brand. The DS3 Crossback brings a long-overdue update to the top-selling DS model, with which the Peugeot maker launched the lineup in 2010, initially under the Citroen badge. By adapting its flagship mini to the hot-selling SUV category, the DS division led by former McKinsey consultant Yves Bonnefont hopes to accelerate a sales recovery now taking root in the wake of a protracted slump. Named after the hallowed 1955 Citroen limousine, the DS lineup had suffered from under-investment during a 2013-14 cash crisis that almost bankrupted PSA.
