Public Company Adopts Fee Shifting Bylaw

· July 1, 2014 ·

The Delaware Supreme Court caused quite a stir when it concluded that a fee shifting bylaw adopted by a non-stock corporation did not run afoul of the Delaware General Corporation Law.  ATP Tour, Inc. v. Deutscher Tennis Bund, 2014 Del. LEXIS 209 (Del. May 8, 2014).  The Delaware legislature threatened to put the kye-bosk on this type of bylaw but it seems that the U.S. Chamber of Commerce put the kye-bosk on the legislation.  Since then, I haven’t come across any examples of publicly traded corporations that have adopted a fee-shifting bylaw.  One of my colleagues, however, did find one recent example:To the fullest extent permitted by law, in the event that (i) any current or prior stockholder or anyone on their behalf (“Claiming Party”) initiates or asserts any claim or counterclaim (“Claim”) or joins, offers substantial assistance to, or has a direct financial interest in any Claim … [Read more...] about Public Company Adopts Fee Shifting Bylaw

City of Bell sues its former bond counsel, says law firm didn’t sound alarm about $100M debt

· May 23, 2014 ·

Still recovering from a corruption scandal that resulted in multiple convictions over excessive salaries paid to officials and a 12-year sentence last month for a former city administrator, a Los Angeles suburb is now suing its former bond counsel.Meyers Nave failed to warn the city of Bell about the consequences of racking up $100 million in debt, the city contends in a Los Angeles Superior Court lawsuit filed Monday. It also alleges that the law firm gave bad advice on several matters after agreeing to serve as interim city counsel after the corruption scandal erupted in 2010. The firm initially began representing Bell as bond counsel in 2009 and concluded its services to the city in 2011, Wave Wire Services reports.Although the city began acquiring debt long before it was represented by Meyers Nave, the law firm “was in a position to reduce Bell’s exposure in these matters between 2009 and 2011,” the suit states. The city asserts claims for breach of contract and … [Read more...] about City of Bell sues its former bond counsel, says law firm didn’t sound alarm about $100M debt

‘Little Eichmanns’ Prof Wins Case, Is Awarded One Dollar

· April 2, 2009 ·

A controversial former ethnic studies professor at the University of Colorado at Boulder has won his wrongful dismissal case against his former employer after a state court jury apparently found that Ward Churchill’s termination was because of his political views. But the jury awarded Churchill only $1 in damages.Nonetheless, the $1 award means that the university likely will have to pay Churchill’s attorney fees, the Associated Press reports. And Churchill, 61, could still be reinstated to his job by Chief Denver District Judge Larry Naves, who has yet to decide this issue, according to the New York Times. Both sides proclaimed at least a partial victory after news of the jury verdict this afternoon:“I didn’t ask for money, I asked for justice,” Churchill said when questioned about the $1 award, adding that he expects to get his job back. “Reinstatement would follow rather, nicely, wouldn’t you say?” he asked rhetorically.A university … [Read more...] about ‘Little Eichmanns’ Prof Wins Case, Is Awarded One Dollar
