Although ISS originally proposed adding hedging and pledging as additional problematic pay practices under its qualitative pay-for-performance analysis, it instead moved its policy regarding these practices to its board of director approval policy for 2013. A company that allows its executive officers or directors to hedge company stock or pledge a significant portion of company stock may receive an “against” or “withhold” vote for directors individually, committee members, or the entire board. New York is the most recent state to implement a state leave policy.
